The description of the common stock, par value $0.01 per share, of Rexford Industrial Realty, Inc. (the “Registrant”) as included under the heading “Description of Stock” in the Registrant’s prospectus forming part of its Registration Statement on Form S-11, originally filed with the Securities and Exchange Commission (the “Commission”) on May 23, 2013 (File No. 333-188806) and as subsequently amended (the “Registration Statement”), is hereby incorporated by reference.
