Explanation of Responses:
1. Represents shares of restricted common stock issued to the Reporting Person pursuant to the Rexford Industrial Realty, Inc. Non-Employee Director Compensation Program, which will vest in full on the earlier of (i) the date of the annual meeting next following the grant date and (ii) the first anniversary of the grant date (June 11, 2025), subject to the Reporting Person's continued service.
2. Represents 10,000 shares of common stock held by the RSZ Trust, for which the Reporting Person is the trustee, and 7,405 shares of common stock held by the Reporting Person's spouse. The Reporting Person disclaims beneficial ownership of such shares, except to the extent of his pecuniary interest therein.
3. Represents common units of limited partnership interest ("OP Units") in Rexford Industrial Realty, L.P. (the "Operating Partnership"). The Issuer is the general partner of the Operating Partnership. OP Units are redeemable for cash equal to the then-current market value of one share of common stock, or at the election of the Issuer, for shares of the Issuer's common stock on a one-for-one basis.
4. The OP Units are exchangeable for common stock of the Issuer on a one-for-one basis.

6. Represents 220,000 OP Units held by the RSZ Trust, for which the Reporting Person is the trustee, and 413 OP Units held by the Reporting Person's spouse. The Reporting Person disclaims beneficial ownership of such OP Units, except to the extent of his pecuniary interest therein.
